Voting:

Stockholders as of the record date are entitled to vote. Each share of Consolidated Edison, Inc. Common Stock is entitled to one vote on each matter properly brought before the Annual Meeting. All such holders of Common Stock (whether registered stockholders with Computershare, beneficial holders through an intermediary such as a broker, bank, or other financial institution, or in plans such as the Thrift Savings Plan (401(k)) Plan or the Con Edison Tax Reduction Act Stock Ownership Plan (TRASOP)) should use the 16-digit control number received in their proxy materials to vote their shares and access the virtual meeting website to attend on the day of the meeting.

Stockholders may also vote in advance of the meeting at the following site by using their 16-digit control number: www.proxyvote.com. If voting in advance, stockholders in the Thrift Savings Plan (401(k)) Plan or TRASOP should vote their shares by May 15, 2024.
