Accountability and Governance for EH&S
The Environment, Health, and Safety Committee of the Board of Directors governs Con Edison's EH&S programs. Since 1995, this Committee has met quarterly to review the status of Con Edison's EH&S efforts. Con Edison's chairman, utility presidents, general counsel, and EH&S vice president participate in these meetings.
The vice president of corporate EH&S is responsible for developing programs to work toward EH&S excellence. Corporate EH&S supports the operating departments responsible for maintaining day-to-day compliance with standards.
The EH&S vice president oversees a Leadership Team to implement the company's strategic plan, consisting of EH&S representatives from throughout the company. This team helps develop goals that help drive Con Edison of New York and Orange & Rockland Utilities, Inc. (O&R) toward EH&S excellence.
The EH&S vice president and EH&S leaders meet with Con Edison's chairman and presidents each month to review projects and issues.
As a part of senior management's commitment to EH&S excellence, the following strategic independent oversight functions have been established:
Office of the Corporate Ombudsman – provides employees with an independent office to which they can confidentially refer suspected violations of Con Edison's Code of Conduct, including EH&S requirements, or ethical and legal concerns. The Ombudsman and the Deputy Ombudsman have the authority to investigate these matters or refer them to appropriate authorities within the company.
Independent Monitor – investigates environmental and safety events, including claims of harassment for raising environmental or safety concerns. The Monitor determines which events and claims to investigate and which to refer to other appropriate organizations and reports the findings to the Chairman and to others.
Environmental and Safety Review Board (ESRB) – consists of three outside consultants. Two are independent attorneys and the third is an expert on organizational culture. The Board reports to the Chairman on EH&S programs and the status of efforts to attain EH&S excellence.
